Ohio Angus Association Proposed Constitutional Changes

Article IV:  Section 1

Delete entire Section 1 as it exists today

Replace Section 1 with new wording as follows:

The Ohio Angus Association shall be a state reflection of the American Angus Association Board of Directors. The Directorate of the Ohio Angus Association shall consist of not less than 17 members which shall include the President, Vice President, Treasurer and Past President, who serves as Chairman of the Board.  There will be 12 directors elected at-large, and one representative director from the Ohio Junior Angus Association. Only one director or officer from a particular farm/herd may serve on the board of directors at a given time.  The position of Executive Secretary / Fieldman serves at the direction and compensation of the Board of directors as a non-voting officer.  Officer and director elections will take place at the annual meeting.  Newly elected terms will commence on April 1st of each year, through March 31st of the following year. 

The following portion of section 1 will remain in the constitution through 2028, at which time it will be deleted.

At the 2026 Annual Meeting, the Ohio Angus Association will begin a final recognition of representation through Ohio regional or county Angus associations.  The regional associations recognized as of December 31, 2025 are Black Swamp, West Central, Eastern and North Central.  These four associations will be recognized with one representative board member each, serving one-year terms expiring at the end of business year 2026, 2027, and 2028 on March 31.  After this time, the entire OAA Board of Directors will be elected on an at-large basis with three-year terms. 

 

Article IV: Section 2

The final 2 sentences of this section will remain the same, with the rest of the previous portion of the section replaced with the following:

Four at-large directors shall be elected for three-year terms on an annual basis.  If the number of nominations received for at-large directors is not sufficient to fill the required number of seats, then the remaining positions may be filled by appointment of the President following the annual meeting.  If a currently unexpired board member is elected to an officer position, a special election may take place following the regular election of four at-large directors to fill that remaining term.  If no nominations are received from the floor, that position may be appointed by the President following the annual meeting.

The following portion of section 2 will remain in the constitution through 2028, at which time it will be deleted:

 

At the 2026 Ohio Angus Association Annual meeting, the following schedule of electing the Board of Directors will be implemented, transitioning to a twelve at-large member board as follows:

Group A will be 4 directors, Group B will be 2 directors in 2026 and then 4 directors thereafter, and Group C will be 4 regional association directors through 2028.  The 8 directors with a term expiring at end of business year 2026 will remain in place for their term.

2029 will represent the termination of recognition of regional association representation and the transition to fully elected at-large positions.  The Ohio Angus Association will only elect 4 directors annually from this point forward.
